- During the onboarding process, you are required to successfully complete KYC (Know Your Customer) verification by providing valid identification and business documents.
- You bear sole responsibility for protecting the confidentiality of your login details. Any actions performed through your account will be considered as authorized by you unless proven otherwise.
- We maintain the absolute right to either approve or decline your application at our discretion.
Scope of Services
ARV Software Solutions delivers digital payment Solutions facilities, enabling merchants to receive
customer payments through multiple methods such as debit cards, credit cards, UPI, net
banking, and digital wallets. Integration options include APIs, plugins, and tools
designed for websites, mobile applications, and POS systems. Additional offerings may
consist of subscription payments, payment links, invoicing tools, QR code solutions, and
detailed transaction reporting. Settlements are routed to your verified bank account,
and we may enhance, adjust, or discontinue features as required.
We reserve the right to change, add, or remove service features at any point in time.
User Obligations
As a registered user, you commit to the following:
- Supplying precise and updated financial and business information.
- Utilizing the platform exclusively for legitimate commercial activities.
- Safeguarding the secrecy of your API keys and account credentials.
- Promptly notifying us of any breach, unauthorized login, or suspected fraudulent activity.
Fees and Settlement
Charges associated with our Services will be mentioned either in your Merchant Dashboard
or Merchant Agreement. We may revise these charges upon prior notification. Unless
otherwise indicated, all fees are stated exclusive of taxes, and you are accountable for
tax payments to applicable authorities. You will also be responsible for
customer-initiated chargebacks, and all refund handling will adhere to our internal
schedules and policies.
We retain the right to alter or update our pricing at any moment. Such updates will be communicated via email or reflected on your dashboard.
Prohibited Activities
You are strictly forbidden from using our Services for unlawful, fraudulent, or
unauthorized dealings. This prohibition includes but is not limited to narcotics sales,
adult content, gambling services, counterfeit items, weapons, or any products restricted
by law. You must not attempt to bypass security systems, exploit vulnerabilities, or
manipulate the platform in any way. Any violation will lead to immediate account
suspension, possible fund withholding, and legal action under applicable regulations.
Risk Monitoring and Fraud Management
We employ AI-based fraud detection tools, automated scoring mechanisms, and real-time
transaction monitoring systems to secure merchants and customers. Transactions flagged
as high risk may be delayed, reviewed, or even reversed. If confirmed fraudulent, we
reserve the authority to freeze or terminate your account with or without notice. You
agree to bear financial losses, chargebacks, or regulatory penalties resulting from
high-risk or unlawful usage of your account.
Data Privacy and Security
Your and your customer’s privacy is paramount to us. Personal and transactional
information collected while using our Services will be processed under applicable data
protection regulations and our Privacy Policy.
Intellectual Property
All intellectual property relating to the platform—including but not limited to
trademarks, branding, logos, interface designs, textual material, user documentation,
and software code—belongs solely to ARV SOFTWARE SOLUTIONS PVT LTD or its licensors. You are
granted a limited, non-transferable, non-sublicensable license strictly for business
usage. Any form of reproduction, reverse engineering, sublicensing, or unauthorized
exploitation is strictly prohibited without written consent. Usage of marketing or
branding material requires prior written authorization.
Third-Party Services
Our system may integrate with external services such as banking institutions, networks,
CRM platforms, analytics providers, or logistics partners. We do not manage or control
such third-party providers and disclaim responsibility for their service quality, data
practices, or disruptions. Any issues resulting from their usage are at your own risk
and are subject to the terms and policies of such third parties.
Termination & Suspension
We hold the authority to suspend or terminate your access to our Services if you violate
these Terms, engage in suspicious conduct, or when required by legal or regulatory
agencies. Suspension may be temporary or permanent, depending on the breach. Upon
termination, you must settle all outstanding dues, liabilities, or pending settlements.
Funds may be withheld during investigations or until disputes are resolved.
Dispute Resolution
In case of disputes, our internal dispute resolution team will first seek to resolve
issues amicably. For transaction-based disputes like chargebacks, we will coordinate
with card networks and acquire banks under established procedures. If disputes remain
unresolved, you retain the right to pursue legal remedies as per the applicable
governing law and jurisdiction.
Limitation of Liability
To the fullest extent permitted by law, ARV Software Solutions shall not be liable for indirect,
incidental, special, or consequential damages arising out of the use or inability to use
our Services. This includes but is not limited to revenue loss, business interruption,
or data loss. We do not guarantee continuous availability or flawless processing of
transactions.
Indemnification
You agree to indemnify, defend, and protect ARV SOFTWARE SOLUTIONS PVT LTD, along with its directors,
employees, and affiliates, against claims, legal fees, damages, or losses that arise
from misuse of Services, violation of these Terms, or any fraudulent or unlawful
activity through your account.
Governing Law and Jurisdiction
These Terms shall be interpreted and governed by the laws of India. Any dispute related
to or arising under these Terms will fall within the exclusive jurisdiction of courts
located in India.
Force Majeure
We shall not be accountable for delays or failures in service delivery caused by events
beyond our control. Such events may include cyberattacks, pandemics, natural disasters,
wars, strikes, terrorism, technical failures, or governmental restrictions.
Amendments and Modifications
We may update, revise, or modify these Terms whenever required. Major amendments will be
displayed on our website with a new “Last Updated” date. Continued usage
after updates signifies your acceptance of the changes. It remains your responsibility
to review the Terms regularly.
Severability and Waiver
If any part of these Terms is judged invalid or unenforceable by a competent court, the
remaining provisions will continue to be valid. Failure to enforce any clause shall not
be construed as a waiver of our rights to enforce that clause at a later time.
